Practice

Sign: contracts

Every contract is a plan for what happens when things go wrong. We write yours, and read theirs, with that in mind.

What we write and review

  • Customer terms, quotes and master services agreements
  • Supply, distribution and manufacturing contracts
  • Commercial leases and equipment leases
  • Employment offers, contractor agreements and non-solicitation terms
  • Confidentiality agreements and licenses

What we look for first

Who pays when something breaks, how either side gets out, when money changes hands and which court hears a dispute. These four questions decide most contracts. We write a one-page summary of the answers before you sign.

Speed

A contract review is quoted in writing before we start. Most come back within three working days, and we'll tell you at the outset if yours will take longer.

Sample matters

Read before it was signed

  • An indemnity should have a ceiling.

    Renegotiated before signing

A metal fabricator's first contract with a national distributor, with liability capped at twelve months of fees.

  • Write your own terms once.

    One template, two hundred customers

A commercial cleaning company replacing a borrowed contract with its own service terms, used for every new account since.

Sample matters, written as illustrations for this template. Every matter is different, and past results don't guarantee a similar outcome.

Questions owners ask

Can you just look over a contract quickly?

Yes, and we'll tell you what quickly means for that document. A short review comes with a one-page summary of what to change and why.

Should we use our terms or theirs?

Your own, where you can. Where a larger customer insists on theirs, we focus on the few clauses that matter and leave the rest.

Do you write employment contracts?

We write offer letters, contractor agreements and confidentiality terms for our business clients. We don't represent employees against employers.
